1. Agreement to These Terms
These Terms of Service ("Terms") are a legal agreement between you ("you" or "Customer") and Sea Salt Labs, LLC, a California limited liability company that operates the CodeSummary platform ("CodeSummary," "we," "us," or "our"), governing your access to and use of our website, GitHub application, hosted documentation, programmatic interfaces, and related services (collectively, the "Services").
By creating an account, clicking to accept, or using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
2. Eligibility
You must be at least 16 years old (and the age of majority in your jurisdiction if older) to use the Services. By using the Services, you represent that you meet these requirements and that the information you provide is accurate.
3. The Services
CodeSummary analyzes source code from repositories you connect and uses automated and AI-assisted methods to generate, host, and maintain documentation. Depending on your configuration, the Services may open pull requests on your repositories, publish hosted documentation sites, expose documentation through programmatic interfaces, and provide related features. We may add, change, or remove features over time.
4. Accounts
You are responsible for your account, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use. We are not liable for losses arising from unauthorized use of your account that results from your failure to safeguard your credentials.
5. Plans, Credits, Trials, and Billing
- Plans and credits. The Services are offered through free and paid plans. Generation and certain other actions consume "credits." Credits are a unit of usage, have no cash value, are non-transferable, and are non-refundable except where required by law. Unused credits may expire at the end of a billing period or as otherwise described at purchase.
- Trials. We may offer free trials or free tiers. These are provided "as is," may be modified or discontinued at any time, and may have reduced features or limits. We may reclaim or expire trial credits.
- Fees and renewal. Paid plans are billed in advance on a recurring basis through our third-party payment processor. Subscriptions renew automatically for successive periods until cancelled. You authorize us to charge your payment method for all fees, taxes, and applicable charges.
- Cancellation. You may cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable and we do not provide refunds or credits for partial periods or unused credits.
- Changes to pricing. We may change pricing or plan features. We will give reasonable notice of material changes, which take effect on your next renewal.
- Taxes. Fees are exclusive of taxes, which you are responsible for, other than taxes on our net income.
6. Your Content
"Your Content" means the source code, repositories, files, documentation, edits, configuration, and other materials you provide to or connect with the Services, and any documentation generated from them at your direction.
- Ownership. As between you and us, you retain all right, title, and interest in Your Content, including the documentation generated for you. We claim no ownership of it.
- License to us. You grant us a limited, non-exclusive, worldwide license to access, store, process, transmit, generate documentation from, and (where you choose to publish) host and display Your Content, solely to provide, secure, and improve the Services for you and as otherwise described in these Terms and the Privacy Policy.
- Your responsibility. You represent that you have all rights and permissions necessary to provide Your Content and to authorize the connections you make (including to any repositories or third-party accounts), and that Your Content and your use of the Services do not violate any law or the rights of any third party.
7. AI-Generated Output
- How it works. Documentation is produced using automated and AI-assisted methods, including third-party AI model providers. Your Content may be sent to those providers solely to generate documentation for you.
- No model training on Your Content. We do not use Your Content to train our models, and the third-party AI providers we use are contractually prohibited from using Your Content to train or improve their models. Your Content is processed to deliver the Services, not to build general-purpose models.
- Output is provided "as is" and must be reviewed. AI-generated documentation may be inaccurate, incomplete, or out of date. It is your responsibility to review and verify generated documentation before relying on, merging, or publishing it. You are responsible for what you choose to publish or merge.
- Similar output. AI systems may produce output that is similar across users. We do not represent that generated output is unique, and you are responsible for ensuring your use of it complies with applicable law and third-party rights.
8. Published Documentation and Hosting
If you choose to publish documentation, you direct us to host and serve it, including (at your option) at a custom domain. You are solely responsible for the content you publish and for ensuring you have the rights to publish it. We may remove or disable access to published content that we reasonably believe violates these Terms, infringes a third party's rights, or creates legal or security risk.
9. Acceptable Use
You agree not to, and not to permit others to:
- use the Services in violation of any law or to infringe, misappropriate, or violate the rights of others;
- connect, upload, or generate documentation from code or content you do not have the rights to use;
- reverse engineer, decompile, or attempt to extract source code from the Services, except to the extent that restriction is prohibited by law;
- resell, sublicense, or use the Services to build or operate a competing product;
- interfere with or disrupt the Services, circumvent usage limits or access controls, or access the Services other than through interfaces we provide;
- upload malware, or use the Services to store or transmit unlawful, harmful, or infringing content.
10. Third-Party Services and Integrations
The Services integrate with third-party platforms (for example, your code host, our payment processor, and AI providers). Your use of those third parties is governed by their own terms, and you must have the rights and permissions needed to connect them. We are not responsible for third-party services, and we do not warrant their availability. Disabling or losing access to a third-party integration may affect the Services.
11. Intellectual Property
The Services, including all software, models, interfaces, and content we provide (excluding Your Content), and all related intellectual property, are owned by us or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services in accordance with these Terms. We reserve all rights not expressly granted.
If you give us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or obligation to you.
12. Copyright and DMCA
We respect intellectual property rights and respond to notices of alleged copyright infringement relating to content hosted through the Services. If you believe content infringes your copyright, send a notice to legal@codesummary.io including: identification of the work; identification of the allegedly infringing material and its location; your contact information; a statement of good-faith belief that the use is unauthorized; a statement, under penalty of perjury, that your notice is accurate and you are authorized to act; and your physical or electronic signature. We may remove or disable access to allegedly infringing content and may terminate accounts of repeat infringers.
13. Confidentiality
Each party may receive non-public information of the other. The receiving party will use the disclosing party's confidential information only to perform under these Terms and will protect it with reasonable care. This does not apply to information that is or becomes public through no fault of the receiving party, was already known, is independently developed, or is rightfully received from a third party, and does not prevent disclosure required by law.
14. Disclaimers
THE SERVICES, INCLUDING ALL AI-GENERATED OUTPUT, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT GENERATED DOCUMENTATION WILL BE ACCURATE, COMPLETE, OR ERROR-FREE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR SECURE. YOU USE THE SERVICES AT YOUR OWN RISK.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). FOR FREE OR TRIAL USE, OUR TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
16. Indemnification
You will defend, indemnify, and hold harmless CodeSummary and its affiliates, officers, and employees from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to Your Content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.
17. Suspension and Termination
You may stop using the Services and cancel at any time. We may suspend or terminate your access if you breach these Terms, if your use poses a security, legal, or operational risk, if required by law, or for non-payment. On termination, your right to use the Services ends. We may delete Your Content following termination as described in the Privacy Policy; please export anything you wish to keep beforehand. Sections that by their nature should survive (including ownership, fees owed, disclaimers, limitations of liability, indemnification, and governing law) survive termination.
18. Changes to the Services and These Terms
We may modify these Terms from time to time. If we make material changes, we will update the "Last updated" date and provide reasonable notice (for example, by posting on this page or notifying you). Your continued use of the Services after changes take effect constitutes acceptance. We may also change, suspend, or discontinue any part of the Services.
19. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You and we agree to the exclusive jurisdiction and venue of the state and federal courts located in California for any dispute arising out of or relating to these Terms or the Services, and each party consents to personal jurisdiction there.
20. General
These Terms and the Privacy Policy are the entire agreement between you and us regarding the Services and supersede prior agreements on that subject. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. We may use subcontractors and service providers to provide the Services.
